OpenAI's $750M Astral deal still isn't closed, months after announcement

OpenAI's agreement to acquire Astral, the startup behind uv, Ruff, and ty, is still working through closing conditions as of Oct 21. OpenAI reiterated Oct 18 that the deal remains in place, with Astral's team joining the Codex organization at close.

What happened

OpenAI's agreement to acquire Astral, the small startup behind three of the most widely used Python tools — uv, a Rust-based package and project manager; Ruff, a linter and formatter Astral says runs 30x faster than older tools; and ty, a fast type checker and language server — is still working through closing conditions as of October 21, 2026. The deal was first disclosed earlier in 2026. Secondary reporting places the price at roughly $750 million, though neither company has confirmed official terms.

OpenAI reiterated as recently as October 18 that the agreement remains in place and that Astral's team is expected to join the Codex organization once the transaction closes. OpenAI's own materials continue to describe the transaction as pending, subject to regulatory approval and customary closing conditions. Neither company has published a specific closing date.

In OpenAI's announcement, Astral founder and CEO Charlie Marsh framed the deal as a continuation rather than an exit: "Astral has always focused on building tools that transform how developers work with Python, helping them ship better software, faster. As part of Codex, we'll continue evolving our open source tools to push the frontier of software development." Codex lead Thibault Sottiaux made the commercial logic explicit: "Astral's tools are used by millions of Python developers. By bringing their expertise and ecosystem to OpenAI, we're accelerating our vision for Codex as the agent most capable of working across the entire software developer lifecycle."

Both companies have said uv, Ruff, and ty will stay open source after the deal closes, and Astral has kept shipping during the pending acquisition: Ruff advanced to 0.17.1 and uv to 0.13.1 in October, both adding support for the newly released Python 3.15.

Why it matters

This is OpenAI buying the plumbing, not the gold: for autonomous coding agents, the dependency resolver, linter, and type checker around the model decide whether an agent's output actually works in a real codebase. Owning Astral lets OpenAI tune uv's resolution, Ruff's lint rules, and ty's type signals for agent workloads on its own schedule, a meaningful edge over Anthropic's rely-on-the-ecosystem approach with Claude Code. The long runway from announcement to close, still with no date, also leaves open the question of whether regulators are looking harder at a major AI lab absorbing widely used open-source infrastructure.
